These Terms & Conditions (“Terms,” “Agreement”) govern your access to and use of the website oreviadigital.com (the “Site”) and your purchase of digital marketing training materials, workbooks, templates, and related resources (collectively, the “Materials”) from Orevia Digital LLC (“we,” “us,” or “our”).

By accessing our Site, creating an account, or purchasing any Materials, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or purchase our products.

1. Acceptance of Terms

1.1 By placing an order on our Site, you confirm that:

You are at least 18 years old or have parental/guardian consent to purchase
You have the legal authority to enter into this Agreement
You will use the Materials only for lawful purposes and in accordance with these Terms
All information you provide is accurate and current

1.2 We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Site or Materials after changes constitutes acceptance of the revised Terms.

2. Description of Products & Services

2.1 What We Provide: Orevia Digital provides structured digital marketing training Materials, including:

Digital workbooks, manuals, and guides (PDF format)
Practical worksheets and implementation exercises
Marketing templates, planning tools, and strategy resources
Written teaching content with practical examples
Platform guidance for common digital marketing channels
Limited email-based support for a defined period per package

2.2 What We Do Not Provide: Our Materials are educational resources only. We do not provide:

Bespoke consultancy, coaching, or done-for-you marketing services
Live consulting calls, strategy sessions, or personalized advice
Guaranteed business results, revenue outcomes, or marketing performance
Business, financial, legal, or income advice
Ongoing agency management or campaign execution

2.3 Educational Purpose Only: The Materials are provided for informational and educational purposes only. They are not a substitute for professional business, legal, financial, or marketing advice. You are solely responsible for how you apply the information contained in the Materials.

3. Intellectual Property Rights

3.1 Ownership: All Materials, including text, graphics, layouts, templates, worksheets, examples, and related content, are the exclusive property of Orevia Digital LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

3.2 License Grant: Upon full payment, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the digital Materials for your personal or internal business use
Print copies of the Materials for your own reference and implementation
Complete worksheets and exercises for your own business planning

3.3 Restrictions: You may not:

Resell, redistribute, sublicense, or commercially exploit the Materials
Share, copy, upload, or post the Materials on public websites, forums, or file-sharing platforms
Modify, adapt, translate, or create derivative works from the Materials
Remove any copyright, trademark, or proprietary notices from the Materials
Use the Materials to train third parties, clients, or employees outside your own organization without prior written consent
Reverse engineer, decompile, or attempt to extract source files from the Materials

3.4 Enforcement: Any unauthorized use of the Materials terminates your license immediately. We reserve the right to pursue legal remedies for copyright infringement, including damages and injunctive relief.

4. Orders, Payment & Pricing

4.1 Order Acceptance: Your order constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason, including product availability, pricing errors, or suspected fraud.

4.2 Pricing:

All prices are listed in GBP (£) and are subject to change without notice
Prices are one-time payments per package — no subscriptions or recurring fees
Applicable taxes (including VAT) will be calculated and displayed at checkout based on your location
We reserve the right to correct pricing errors and may cancel orders affected by such errors

4.3 Payment Processing:

Payments are processed securely through third-party payment providers (Stripe, PayPal, etc.)
We do not store full credit card numbers or security codes on our servers
By providing payment information, you authorize us to charge the total amount (including applicable taxes and fees) to your selected payment method
You agree to maintain accurate and up-to-date billing information

4.4 Order Confirmation: After successful payment, you will receive an order confirmation email at the address provided during checkout. This email serves as confirmation that your order has been received and is being processed.

5. Delivery & Access to Materials

5.1 Digital Delivery (Standard):

Digital Materials are delivered via email to the address provided at checkout
Delivery is typically completed within 24 hours of successful payment
You will receive a download link and/or access instructions via your Orevia account under “My Account → Downloads”
It is your responsibility to ensure the email address provided is valid and to check your spam/junk folder if you do not receive your Materials

5.2 Printed Delivery (Optional):

Printed copies are not included by default and must be requested manually after purchase by emailing support@oreviadigital.com
Printed delivery is subject to availability, additional shipping fees, and our acceptance of your request
Shipping times vary by location but typically take 1–5 working days after dispatch via tracked courier
You are responsible for providing a complete and accurate delivery address. We are not liable for delays or losses due to incorrect address information

5.3 Access & Account:

You must create an account or log in to access your digital downloads
Keep your login credentials secure. You are responsible for all activity under your account
If you forget your password, use the “Lost your password?” feature or contact support

5.4 Download Limits:

Digital files may have download limits (e.g., 3–5 attempts) and/or expiry dates for security purposes
If you exceed download limits or lose access, contact support@oreviadigital.com for assistance
We recommend downloading and backing up your Materials promptly after purchase

6. Support Services

6.1 Included Support: Each package includes email support for the period specified at purchase (ranging from 7 to 30 days). Support covers:

Technical issues accessing or downloading Materials
Clarification of content within the purchased Materials
Guidance on using templates, worksheets, or planning tools included in your package

6.2 Support Limitations: Support does not include:

Personalized marketing strategy, campaign review, or business consulting
Customization of templates or Materials for your specific business
Troubleshooting third-party tools, platforms, or software mentioned in the Materials
Responses to queries outside the scope of the purchased Materials

6.3 Additional Support: If you require support beyond the included period or scope:

Additional support may be offered at an agreed hourly or project rate
Any additional support will be invoiced separately and is not automatic recurring billing
Additional support is provided only upon prior written agreement on scope and price

6.4 Response Time: We aim to respond to support inquiries within 24–48 hours during business hours (Sunday–Thursday, UAE time). Response times may vary during holidays or peak periods.

7. Refund Policy

7.1 Refund Eligibility: Refund requests must be submitted to support@oreviadigital.com within 7 days of purchase. Refunds are reviewed on a case-by-case basis and are not guaranteed.

7.2 Digital Products – Important Notice: Under applicable consumer law (including UK Consumer Rights Act 2015 and UAE Consumer Protection Law), you waive your right to cancel or receive a refund for digital content once download or access has begun, provided we clearly informed you of this before purchase.

By completing your purchase, you acknowledge that:

You consent to immediate digital delivery upon payment
You understand that once you download or access the Materials, you lose the right to cancel under distance selling regulations
Refunds for digital products are discretionary and may be denied if the Materials have been substantially accessed, downloaded, or used

7.3 Printed Products: If you requested and received a printed copy:

Refunds may be considered if the item is defective, damaged, or not as described
Return shipping costs for printed items are the customer’s responsibility unless the item is faulty
We may issue a replacement instead of a refund at our discretion

7.4 Non-Refundable Situations: Refunds may be denied if:

The Materials have been downloaded, accessed, or substantially used
There is evidence of misuse, unauthorized sharing, or attempted retention after a refund request
The request is submitted after the 7-day window
The issue relates to user error, incompatible software, or failure to follow instructions

7.5 Refund Process: If your refund is approved:

The refund will be processed to your original payment method
Processing times vary by provider (typically 5–7 working days)
You will receive email confirmation once the refund is initiated

8. Disclaimer of Warranties

8.1 “As Is” Basis: The Materials are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to:

Merchantability, fitness for a particular purpose, or non-infringement
Accuracy, completeness, reliability, or timeliness of content
Results or outcomes from using the Materials

8.2 No Guaranteed Results: You acknowledge that:

Marketing results depend on numerous factors beyond our control (market conditions, implementation effort, competition, etc.)
Past performance, examples, or testimonials do not guarantee future results
Your success depends on your effort, resources, market, and execution

8.3 Your Responsibility: You are solely responsible for:

How you interpret and apply the information in the Materials
Compliance with applicable laws, platform policies, and advertising regulations in your jurisdiction
Any business decisions, marketing campaigns, or financial outcomes resulting from your use of the Materials

9. Limitation of Liability

9.1 To the Maximum Extent Permitted by Law: Orevia Digital LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, data, or business opportunities
Costs of substitute products or services
Damages arising from your use or inability to use the Materials

9.2 Aggregate Liability Cap: Our total liability to you for any claim arising out of or relating to these Terms or your purchase shall not exceed the amount you paid for the specific package giving rise to the claim.

9.3 Exclusions: Nothing in these Terms excludes or limits liability for:

Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Any other liability that cannot be excluded or limited under applicable law

10. Indemnification

You agree to indemnify, defend, and hold harmless Orevia Digital LLC, its owners, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of:

Your use or misuse of the Materials
Your violation of these Terms
Your infringement of any third-party rights (including intellectual property)
Your violation of any applicable laws or regulations

11. Account Responsibilities

11.1 Registration: You may need to create an account to purchase or access Materials. You agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your password secure and not share it with third parties

11.2 Account Activity: You are responsible for all activities that occur under your account. Notify us immediately at support@oreviadigital.com of any unauthorized use or security breach.

11.3 Termination: We reserve the right to suspend or terminate your account if:

You violate these Terms
We suspect fraudulent or abusive activity
You fail to maintain accurate account information

12. Termination

12.1 By You: You may stop using the Materials at any time. However, license fees are non-refundable except as expressly stated in our Refund Policy.

12.2 By Us: We may terminate or suspend your access to the Materials immediately, without prior notice, if:

You breach any provision of these Terms
We are required to do so by law or regulatory authority
We discontinue offering the Materials or the Site

12.3 Effect of Termination: Upon termination:

Your license to access and use the Materials ends immediately
You must cease all use and destroy any copies of the Materials in your possession
Sections regarding Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification shall survive termination

13. Governing Law & Dispute Resolution

13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.

13.2 Jurisdiction: Any disputes arising out of or relating to these Terms or your purchase shall be subject to the exclusive jurisdiction of the courts of Sharjah, United Arab Emirates.

13.3 Amicable Resolution: Before initiating formal legal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@oreviadigital.com. We will respond within 30 days and work toward a mutually acceptable resolution.

13.4 Class Action Waiver: To the extent permitted by law, any disputes will be resolved on an individual basis. You waive any right to participate in class actions, class arbitrations, or representative proceedings against Orevia Digital.

14. Changes to Terms or Products

14.1 Terms Updates: We may revise these Terms at any time. The version in effect at the time of your purchase governs that transaction. Continued use of the Site after changes constitutes acceptance.

14.2 Product Updates: We reserve the right to update, improve, or modify the Materials at any time. Updates may be provided to existing customers at our discretion but are not guaranteed.

14.3 Discontinuation: We may discontinue offering any package or the Site itself. If we discontinue a product you purchased, we will provide reasonable notice where feasible.

15. General Provisions

15.1 Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and any order confirmations, constitute the entire agreement between you and Orevia Digital regarding the subject matter herein.

15.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless expressly acknowledged in writing.

15.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure: We shall not be liable for delays or failures in performance resulting from events beyond our reasonable control, including acts of God, war, terrorism, pandemics, government actions, or internet/service provider outages.
